GENERAL CONDITIONS  OF  SALE

1.  DEFINITIONS & INTERPRETATION

“Peptides” means any research‑grade peptide or related reagent sold by OptiPept Ltd (“OptiPept”, “we”, “us”).

“Buyer” means the company, university, contract‑research organisation or other laboratory purchasing the Peptides.

“Contract” means the agreement formed in accordance with Clause 4.

2.  ELIGIBILITY & BUYER WARRANTY

2.1  The Buyer confirms it is acting in the course of business and is not a consumer.

2.2  All persons handling Peptides must be at least 18 years old.

3.  PERMITTED USE

3.1  Peptides are supplied strictly for in‑vitro research, analytical or quality‑control purposes. They must not be used for human or veterinary administration, diagnostic procedures, therapeutic purposes or dietary supplementation.

3.2  The Buyer shall ensure all storage, marketing, onward distribution and disposal comply with UK “borderline product” guidance so the material is not presented as a medicinal product. 

3.3  Any publication or promotional activity must avoid medicinal or health claims.

4.  FORMATION OF CONTRACT

4.1  A Contract is formed only when OptiPept issues a written Order Confirmation or dispatches the goods.

4.2  Quotations are invitations to treat and may be withdrawn at any time.

5.  PRICES, TAX & PAYMENT

5.1  Prices are quoted in GBP, and inclusive of VAT unless stated otherwise.

5.2  We may adjust prices before acceptance to reflect changes in raw‑material or compliance costs.

5.3  Payment is due in full, without set‑off, prior to dispatch unless a credit facility has been agreed.

6.  DELIVERY, RISK & TITLE

6.1  Delivery terms are Free Carrier (FCA) OptiPept warehouse unless agreed otherwise.

6.2  Risk transfers on collection by the first carrier; title passes only when the purchase price is paid in full.

6.3  The Buyer is responsible to store the Peptides in accordance with temperature and handling recommendations.

7.  INSPECTION & RETURNS

7.1  The Buyer shall inspect consignments on receipt and notify OptiPept within seven (7) calendar days of any loss, damage or non‑conformity.

7.2  Returns are accepted only for shipping damage, mis‑shipment or analytical failure, and only if the goods are unopened, in original packaging and accompanied by a Return Authorisation.

7.3  OptiPept’s sole obligation is, at its discretion, to replace the goods or refund the purchase price.

8.  LIMITED WARRANTY

8.1  No other warranties, express or implied (including fitness for a particular purpose), are given.

9.  LIABILITY

9.1  Nothing in these Conditions limits liability for death or personal injury caused by negligence or for fraud.

9.2  Subject to 9.1, OptiPept’s maximum aggregate liability shall not exceed the invoiced value of the affected goods.

9.3  OptiPept is not liable for indirect, consequential or economic losses arising from the use, storage or resale of the Peptides.

10. INDEMNITY

The Buyer shall indemnify and hold OptiPept harmless from any claim, loss or cost arising out of (a) the Buyer’s use or misuse of the Peptides, (b) breach of these Conditions, or (c) the Buyer’s failure to comply with applicable laws.

11. REGULATORY COMPLIANCE & EXPORT CONTROLS

11.1  The Buyer is responsible for obtaining any licences, permits or customs clearances required to import, store or use the Peptides.

11.2  The Buyer shall not export or re‑export the Peptides in violation of UK, EU or US export‑control laws.

12. FORCE MAJEURE

Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disaster, epidemic, governmental action or transport interruption.

13. INTELLECTUAL PROPERTY

All trademarks, trade names, documents and analytical data remain the property of OptiPept or its licensors. No licence is granted except as necessary to use the goods for the permitted purpose.

14. DATA PROTECTION

Any personal data exchanged under the Contract is processed in accordance with OptiPept’s Privacy & Cookies Policy. International transfers, where required, rely on the UK International Data Transfer Agreement or Addendum.

15. VARIATIONS

OptiPept may amend these Conditions on orders accepted after the effective date of payment.

16. GOVERNING LAW & JURISDICTION

These Conditions and any Contract are governed by English law. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
